NON-EXCLUSIVE LICENSE AGREEMENT FOR INSTRUMENTAL MUSIC

This Non-Exclusive License Agreement (the “Agreement”) is entered into as of the Effective Date (date of purchase) by and between:

Licensor, Nico LJL Music (www.nico-ljl-music.com)  

AND  

Licensee, the Buyer

Recitals

Licensor is the creator and owner of the Music described below and grants Licensee a non-exclusive license to use the Music under the terms set forth.

1. Grant of License

1.1 Licensor grants Licensee a non-exclusive, royalty-free, worldwide license to use the Music for commercial, non-commercial, film/TV, YouTube/streaming, video games, or podcasts.

1.2 Duration. The license granted under this Agreement is perpetual and may be used indefinitely, beginning on the Effective Date.

1.3 Territory. The rights granted under this Agreement are worldwide.

2. Credit and Attribution

2.1 Credit. Licensee must credit Licensor whenever the Music is used publicly (e.g., credits in a video, website, or project description). For audio-only uses (e.g., audio-only content like podcasts), credit may be placed in metadata:

- "Music by Nico LJL Music"  

- or "Track: Listen by Nico LJL Music"

3. Restrictions

3.1 Prohibited Uses. Licensee shall not:

- Sub-license, sell, or redistribute the Music as standalone content.

- Use the Music in a manner that violates any laws or regulations, or in any way that could damage the reputation of the Licensor.

- Modify, edit, or adapt the Music to create derivative works for resale or distribution without prior written consent from Licensor.

3.2 Non Exclusivity. The license granted is non-exclusive, and Licensor reserves the right to license the same Music to other parties without any restrictions.

4. Ownership

4.1 Ownership of Music. Licensor retains full ownership of the Music and all intellectual property rights therein, including any copyrights, trademarks, and other proprietary rights. This Agreement does not transfer ownership of the Music to Licensee.

5. Warranties and Representations

5.1 Licensor warrants it has the right to grant the license and that the Music does not infringe third-party rights.

5.2 Licensee represents and warrants that they will not use the Music in any manner that would violate this Agreement or any applicable law.

6. Limitation of Liability

6.1 Licensor is not liable for indirect or consequential damages related to the Music's use.

7. Termination

7.1 If Licensee breaches the Agreement, Licensor may terminate it, and Licensee must cease using the Music. Uses made before termination remain licensed.

8. Miscellaneous

8.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of Switzerland.

8.2 Entire Agreement. This Agreement constitutes the entire understanding between the parties with respect to the Music and supersedes all prior discussions, negotiations, and agreements, whether written or oral.

9. Agreement by Purchase

By clicking the "Buy This" button, Licensee acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Non-Exclusive License Agreement. The act of purchasing the Music constitutes the Licensee’s acceptance of this Agreement as of the date of purchase (the "Effective Date").
